TDCC Fundraising Program – Terms & Conditions

By signing up your team or organization (“Team”) to participate in the Dugout Clothing Company (“TDCC”) Fundraising Program, you (“Authorized Representative”) agree to the following terms and conditions:

1. Eligibility

  1. The Team or Organization must be a recognized sports team, league, or nonprofit organization.

  2. The Authorized Representative signing up must have the authority to act on behalf of the Team or Organization.

2. Program Participation

  1. TDCC will create a custom online merchandise page for the Team, featuring 15–20 items with the Team’s logo.

  2. The Authorized Representative agrees to provide TDCC with all necessary materials, including logos, artwork, and approvals, to produce merchandise.

  3. TDCC reserves the right to reject any logo, artwork, or design that is deemed inappropriate, offensive, or violates applicable law.

3. Logo and Intellectual Property

  1. By submitting the Team’s logo and artwork, the Authorized Representative warrants and represents that:
    a. They have all rights, licenses, or permissions necessary to authorize TDCC to use the logos and artwork on merchandise;
    b. Use of the logos or artwork will not infringe or violate the intellectual property or publicity rights of any third party.

  2. The Authorized Representative grants TDCC a non-exclusive, worldwide, royalty-free license to use the Team’s logos and artwork for production, promotion, marketing, and sale of merchandise.

  3. TDCC may modify or resize logos as necessary to fit merchandise design requirements.

4. Fundraising & Payment

  1. TDCC will allocate 5%–10% of the sales price of each item sold directly from the Team’s fundraising page back to the Team or Organization.

  2. The percentage allocation may vary depending on the item and is specified on the Team’s merchandise page.

  3. Payments will be issued to the Team or Organization on a [monthly/quarterly] basis by TDCC via [check/ACH/PayPal — specify method].

  4. TDCC is not responsible for any taxes, fees, or reporting obligations that may be required for funds received by the Team or Organization.

5. Shipping

  1. All merchandise will be shipped directly to the purchaser’s address.

  2. TDCC is responsible for fulfillment and shipping; the Team or Organization has no obligation to handle merchandise.

  3. TDCC is not responsible for shipping delays caused by carriers, weather, or other events outside TDCC’s control.

6. Termination

  1. Either party may terminate participation in the fundraising program at any time with written notice.

  2. TDCC reserves the right to suspend or terminate any Team’s participation if:
    a. Submitted logos or artwork are found to violate copyright or trademark laws;
    b. The Team or Organization engages in fraudulent or unlawful behavior;
    c. TDCC determines participation may harm its brand or reputation.

7. Limitation of Liability

  1. TDCC is not liable for any indirect, incidental, or consequential damages, including lost profits, revenue, or fundraising opportunities.

  2. TDCC’s total liability to the Team or Organization shall not exceed the total amount of funds allocated to the Team through the program at the time of any claim.

8. Governing Law

  1. These Terms & Conditions shall be governed by and construed under the laws of the state of [Insert State].

  2. Any disputes arising under these Terms shall be resolved in the courts of [Insert County and State].

9. Authorization & Agreement

By signing up for the TDCC Fundraising Program, the Authorized Representative confirms that:

  • They have the legal authority to bind the Team or Organization to these Terms & Conditions;

  • They grant TDCC permission to use the Team’s logos and artwork on merchandise and in marketing materials;

  • They have read, understand, and agree to all terms outlined above.
